BY BIDDING ON THE PROPERTY, BUYER AGREES TO ALL TERMS AND CONDITIONS SET FORTH AND ENTERS INTO A CONTRACTUAL AGREEMENT TO PURCHASE THE PROPERTY UNDER THE FOLLOWING TERMS AND CONDITIONS: ONLINE BIDDING: AUCTION DATE / TIME: Bidding begins: May 17, 2023 @ 8:00 AM EST; Bidding closes: May 17, 2023 @ 6:00 PM EST (**See AUCTION END TIMES). UPON CONCLUSION OF THE AUCTION: The Winning Bidder will be emailed a Real Estate Contract to print and is required to fully and correctly complete and properly sign without any modifications. Bidder is to return the completed, signed contract to Halderman Real Estate Services, Inc. by email, fax or delivered in person by 4:00 PM of the day following the auction. Along with the completed, signed contract, the Winning Bidder will be required to send the specified non-refundable earnest money deposit as stated in the property description. This non-refundable earnest money deposit will be held in escrow until closing and that amount will then be credited to the Buyer as part of the purchase price of the property. Wire transfer instructions and escrow agreement forms will be provided to the Buyer along with the contract after the auction. Purchaser shall be responsible for all wire transfer fees. Successful bidders not executing and returning the completed contract and earnest money deposit by 4:00 PM the day after the auction will be considered in default. Such default by the Successful Bidder will result in that Bidder’s liability to both the Seller and Halderman Real Estate Services, Inc. Seller shall have the right to (a) declare this contractual agreement cancelled and recover full damage for its breach, (b) to elect to affirm this contractual agreement and enforce its specific performance or (c) Seller can resell the property either publicly or privately with Halderman Real Estate Services, Inc. and in such an event, the Buyer shall be liable for payment of any deficiency realized from the second sale plus all costs, including, but not limited to the holding costs of the property, the expenses of both sales, legal and incidental damages of both the Seller and Halderman Real Estate Services, Inc. In addition, Halderman Real Estate Services, Inc. also reserves the right to recover any damages separately from the breach of the Buyer. Both the Successful Bidder and Seller shall indemnify Halderman Real Estate Services, Inc. for and hold harmless Halderman Real Estate Services, Inc. from any costs, losses, liabilities, or expenses, including attorney fees resulting from Halderman Real Estate Services, Inc. being named as a party to any legal action resulting from either Bidders or Sellers failure to fulfill any obligations and undertakings as set forth in this contractual agreement.

 

REAL ESTATE TERMS: •

 

TERMS OF SALE: 10% earnest deposit down with the executed contract, balance due at closing. Your purchase is not subject to financing. •

 

ACREAGE: The acreages listed in this brochure are estimates taken from the county assessor’s records, FSA records and/or aerial photos. •

 

DATE OF CLOSING: Closing will occur on or before June 30, 2023. The Seller has the choice to extend this date if necessary. •

 

OPEN HOUSES: Saturday, April 15, 2023 from 11:00AM – Noon; Wednesday, April 26, 2023 from 4:00 – 6:00 PM; Saturday, May 13, 2023 from 11AM – Noon. •

 

POSSESSION: Possession of the Cropland will be following harvest of the 2023 crop. Possession of the woodland will be at closing. Possession of the buildings will be thirty (30) days after closing. •

 

REAL ESTATE TAXES: The Seller will pay all real estate taxes payable in 2023. Buyer will pay all real estate taxes payable in 2024 and all taxes thereafter. •Any CAUV recoupment shall be Purchaser’s responsibility.

 

DITCH ASSESSMENT: The Seller will pay all ditch assessments payable in 2023. The Buyer will pay all ditch assessments payable in 2024 and thereafter. •

 

NO CONTINGENCIES: This Real Estate contract is not contingent on or subject to Buyer’s financing, appraisal, survey or inspections of any kind or any other contingencies as agreed to by bidders at registration prior to bidding. •

 

SURVEY: The Sellers reserve the right to determine the need for and type of survey provided. If an existing legal description is adequate for title insurance for the tract, no new survey will be completed. If the existing legal description is not sufficient to obtain title insurance, a survey will be completed, the cost of which will be shared 50/50 by the Sellers and the Buyer(s). The Sellers will choose the type of survey to be completed and warrant that it will be sufficient to provide an owner’s title insurance policy for the tract. If a survey is completed, the purchase price for the surveyed tract will be adjusted, up or down, to the exact surveyed acres. The price per acre will be the auction price bid for the tract, divided by the tract acreage estimated in the auction brochure.

 

CASH RENT INCOME: The Buyer of Tract 3 will receive a credit of $23,000.00 at closing for the 2023 crop lease income.

 

DEED: The Sellers will provide a Trustee’s Deed at closing. •

 

EVIDENCE OF TITLE: The Sellers will provide an Owner’s Title Insurance Policy to the Buyer(s). Each Buyer is responsible for a Lender’s Policy, if needed. If the title is not marketable, then the purchase agreement(s) are null and void prior to the closing, and the Broker will return the Buyer’s earnest money. •

 

ZONING AND EASEMENTS: Property is being sold subject to any and all easements of record. Property is subject to all state and local zoning ordinances. A public meeting was held on May 2 at 7:00pm with the Monroe Township Board of Zoning Appeals. The Board members voted to approve the variance requested for the tracts that do not meet the 3:1 depth requirement in the township. The five tracts in this auction may sell as proposed. In addition, the township board voted to approve building one single family dwelling on tracts 3 and 4. If tracts are sold separately, surveys will be completed following the auction to determine exact acreage.

 

OHIO LICENSED WILD ANIMAL PRESERVE: X-Factor Whitetails is an Ohio licensed wild animal hunting preserve. If the Purchaser wishes to continue with the Ohio licensed wild animal hunting preserve, Purchaser is responsible for conforming to and completing the licensing application requirements for this license transfer with the Ohio Division of Wildlife and/or other regulatory divisions. •

SEPTIC/WELL: The Logan County Health District has examined the sewage treatment systems on Tracts 1, 2, and 3 and provided written reports indicating required repairs that are available on the Halderman Real Estate Services website or available upon request. Additionally, the existing well for the main house and hunting lodge is located on Tract 2. Should Tract 2 sell separate from Tract 1, the Logan County Health District requires that Tract 1 drill a new well on the Tract 1 property. These repairs will be made at the Buyer(s) expense. •

 

DRIVEWAYS: Logan County, Access Management Regulations are available at the following link:  Logan_Co_Access_Management final.doc (lceo.us) and on the HRES X-Factor auction web page under “Other Documents”.  Todd Bumgardner, Administrative Coordinator, at the Logan County Engineer’s Office issued the following statement after inspecting the property: “Tract 2 and Tract 3 require a shared access point within the right of way. Formalizing the shared access and documentation of the legal easement occur during the sale's survey stage before the property transfer. Site distances related to the roadway speed limit and minimum access point separation along a local road do not meet our regulations for Tract 3. Note: Tract 3, as proposed, shall not be granted a new access point. ADDED May 15, 2023:  Tract 3 shall be granted the easement as described by Mr. Bumgardner with the clarification that the shared driveway entrance easement for Tract 3 shall be a depth of approximately 80’ from the center of Township Road 163, which said easement ends west of the rock wall entrance to Tract 2, with the further clarification that this easement shall be terminated if Tract 3 is permitted for a road driveway within its road frontage area in the future.  The final driveway and easement access shall be determined by a survey and subject to approval by the Logan County Engineer’s Office and may vary from these approximated measurements.  Tract 1 and Tract 4 also require a shared access point within the right of way. The proposed access point would be within the sketched limits of Tract 1. The new owner(s) of Tract 1 and Tract 4 would formalize the location and legal easement during the survey stage. At no point along the road frontage of Tract 4 does it meet our minimum sight distance regulations. After the survey and transfer of the property, the new owner of Tract 4 could challenge this determination through our board of appeals. However, to expedite our processes and achieve your sale date, it is our stand that we proceed with disclosed shared access for these proposed Tract 1 and Tract 4”. ADDED May 15, 2023:  The width of this easement shall be from the center of Township Road 163 to the west edge of the current fence along Road 163 (approximately 46’ from the center of the road, with actual width TBD by survey) running parallel along Road 163 from the new driveway access for Tract 1 extending to the Tract 4 property line.  Shall Tract 4 receive approval for a driveway access on the Tract 4 Road 163 frontage, this Logan County Engineer’s Office required easement shall terminate.  The final driveway and easement access shall be determined by a survey and subject to approval by the Logan County Engineer’s Office and may vary from these approximated measurements.  Todd Bumgardner of the Logan County Engineer’s Office can be reached at 937-592-2791. •

AUCTION END TIMES: Halderman Real Estate Services, Inc. online only auctions are timed events and all bidding will close at specified time. However, our auctions also have what is called an 'Auto Extend' feature. Any bid placed within the final 5 minutes of an auction results in the auction automatically extending 5 additional minutes. The bidding will extend in 5 minute increments from the time the last bid is placed until there are no more bids, and the lots sit idle for 5 minutes. Therefore, the auction will not close until all bidding parties are satisfied and no one can be outbid at the last second without having another opportunity to bid again.

 

TECHNICAL ISSUES: In the event there are technical difficulties related to the server, software, internet or any other online auction-related technologies, Halderman Real Estate Services, Inc. reserves the right to extend bidding, continue the bidding, or close the bidding.
